TalkTalk teeters on the edge of administration with £1.2 billion in debt

The struggling broadband provider is racing to sell its consumer and wholesale businesses before it collapses. BT has opened talks with the UK government about a possible takeover, while the rescue of its wholesale arm hinges on whether Openreach will write off more than £100 million in payments.

Dame Tristia Harrison, TalkTalk’s chief executive, is leading the company through administration and rescue negotiations from its Salford headquarters as it races against the threat of administration. Alvarez & Marsal has been appointed to help sell TalkTalk’s consumer and wholesale businesses through a pre-pack administration process, while PJT Partners advises the TalkTalk Group.

The pressure follows a statutory loss before tax of £465 million for the year ended 28th February 2025. TalkTalk’s net debt, excluding leases, has reached £1.2 billion and rises to £1.96 billion when leases are included.

Epiris is the lead bidder for PXC, TalkTalk’s debt-ridden wholesale business, after Octopus Investments withdrew from an earlier bid. Its proposed rescue has turned on a request to Openreach, BT’s network business, to waive or write off several months of payments from PXC worth more than £100 million.

PXC serves approximately 1.6 million customers and is a key supplier to thousands of vulnerable customers, as well as hospitals, doctors’ surgeries and other areas of Critical National Infrastructure. The question of whether Openreach will agree to the requested waiver remains unresolved.

BT has also opened talks with the UK government about the possibility of a takeover bid for TalkTalk. The terms under discussion have not been disclosed.

TalkTalk’s consumer business has its own prospective buyers. Vodafone and Opus Broadband are understood to remain in talks, while Ares Management is already an investor in that division. Ares provided TalkTalk with a £120 million cash lifeline in 2025. Toscafund Asset Management is TalkTalk’s lead majority owner.

Epiris is pursuing the PXC transaction while in the middle of a separate £1 billion+ takeover bid for London-listed business internet provider Gamma Communications.

TalkTalk began in February 2003 in Leeds, England, as a division of Carphone Warehouse, before becoming a standalone company in March 2010. At its peak in 2015, it served over 4 million customers and was valued at nearly £4.8 billion on the London Stock Exchange.

The immediate outcome for PXC now rests in part on whether Openreach will accept the requested concessions. The wider sale process will also decide who takes control of TalkTalk’s consumer operation and wholesale network.
